504 PRIVATE PLACEMENT OFFERING
Transtar Entertainment Company, Inc. is looking to attract a number of accredited investors to commit up to $500,000.00 through a 504 Private Placement Offering. One million shares of common stock of Transtar Entertainment Company, Inc. are being offered at $.50 per share in order to raise up to $500,000.00.
Transtar Entertainment Company, Inc. will use the net proceeds of the offering to: 1) upgrade our production equipment packages with high-definition cameras and an HD editing system; 2) develop and launch the Wilderness Experience broadcast television program; 3) develop and launch the Date Camp reality television series; and 4) prepare an initial public offering within 18 months to list the Company on the OTC Bulletin Board.
Transtar Entertainment Company’s Offering Document and Stock Subscription Agreement are available upon request. TEC will not accept any investment offer not accompanied by a properly executed Subscription Agreement. Each investor must make a minimum investment of $2,500.00 for 5,000 shares at $.50 per share.
WILDERNESS PARTNERS, LLC
Wilderness Experience is a half-hour, high-definition broadcast television series designed for everyone who enjoys recreational activities in the great outdoors. Wilderness Experience is a fun and entertaining program that’s also informative and educational. The weekly series showcases beautiful scenery and popular locations from around the country. The program introduces you to a wide range of outdoor recreational activities. And most importantly, the series helps viewers realize just how easy it is to venture out on their own and enjoy their favorite recreational and leisure activities in the outdoors. You don’t have to spend a fortune on equipment, take survival training classes or hire a professional guide to safely enjoy your own Wilderness Experience.
The producers of Wilderness Experience have formed Wilderness Partners, LLC, a limited liability company based in Aurora, Colorado. Wilderness Partners, LLC maintains the rights to the Wilderness Experience concept, manages the production budgets, hires production crews, negotiates sponsorship agreements and establishes broadcast distribution contracts.
Wilderness Partners, LLC is looking to secure start-up financing to launch the series. We have anticipated up to $200,000.00 will be required from one or more investors to adequately fund the start-up. The start-up budget will cover legal and accounting fees, producing the first 10-12 episodes of the Wilderness Experience series, updating the Wilderness Experience website, various sales and marketing expenses and other administrative costs.
For every $40,000.00 committed, the investor(s) will be assigned 8% of the membership shares of Wilderness Partners, LLC. For example, if $80,000.00 is provided, the investor(s) would own 16% of the total shares. If $120,000.00 is invested, they would own 24% of the shares. And if the entire $200,000.00 is committed, the investor(s) would own 40% of the total membership shares of Wilderness Partners, LLC.
Another opportunity to invest in the Wilderness Experience television series is to donate to the Wildland Awareness and Educational Institute (WAEI), a registered 501(c)(3) non-profit organization. WAEI will be working closely with Wilderness Partners, LLC to help finance and produce the Wilderness Experience television series. Depending on the investor’s specific tax situation, all or a portion of their investment may be written off as a donation.
The mission of Wildland Awareness and Educational Institute is to raise awareness about natural resources and outdoor recreation, cultivate tomorrow’s conservation leaders and foster a sense of appreciation for the outdoors in children, young adults, women and families. WAEI conducts outdoor education workshops, teaches courses in colleges and universities and helps produce of the Wilderness Experience television series. DATE CAMP, LLC
The Date Camp concept consists of two parts. The first part is the Date Camp Weekend Retreats. 30-40 participants arrive at a resort location on a Friday afternoon and quickly begin to realize their dating phobias. By the time they leave on a Sunday afternoon, they have learned how to be better communicators and more effective daters. Date Camp Weekend Retreats can be held in major cities across the country and expand to exotic locations around the world.
The second part of our concept is the Date Camp Reality TV Series. Producers will shoot extensive HD footage at multiple weekend retreats, focusing on coaching sessions, participant interactions, beautiful locations and the fun of Date Camp. This footage will be assembled into a weekly series of 30-minute episodes designed for national broadcast on a cable network. In addition, hundreds of shorter clips and sequences will be edited for distribution on the internet. Enticing webisodes can be streamed onto the internet, viewers can order favorite episodes from video-on-demand and individual coaching segments can be downloaded from our website.
The creators of Date Camp have formed Date Camp, LLC, a limited liability company based in Aurora, Colorado. Date Camp, LLC will maintain the integrity and rights to the Date Camp concept, manage the production budgets, hire the production crews, negotiate sponsorship agreements and establish broadcast distribution contracts.
Before we can launch the Date Camp concept, a primary name sponsor will need to be secured to a long-term commitment. To secure a primary name sponsor, as well as attract other secondary sponsors, Date Camp LLC will produce a comprehensive Sponsorship Sales Package. This sales package will be high-quality and feature slick graphics, colorful logos and exciting photos. We will customize each sales package to fit the specific programs of each potential sponsor.
Date Camp, LLC is looking to secure initial financing to create the Date Camp Sponsorship Sales Package and cover other start-up expenses. We anticipate approximately $10,000.00 will be required from one or more investors to adequately fund this work. This amount will cover legal and accounting fees, duplicating the Sponsorship Sales Package, producing new video clips, updating the Sponsorship Demo, various sales and marketing expenses and other administrative costs.
After investing the $10,000.00 to produce the Sponsorship Sales Package and cover other start-up expenses, the investor(s) will be assigned 10% of the membership shares of Date Camp, LLC.
GUITAR TV, LLC
Guitar TV is a one-hour broadcast television series produced in high-definition video and surround sound audio. Each episode is formatted for commercial broadcast while also edited as a continuous program for video-on-demand. All programs in the Guitar TV library are offered as long versions without bumpers or commercial breaks.
The Guitar TV Concert Series features the world’s most accomplished guitarists performing in front of live audiences. Groups will range from individual musicians to full bands playing rock, classic rock, country and Christian music. The format will include performances of their original songs in front of a studio audience, backstage footage of the band before and after the concert and short interviews of the performer talking about the songs.
Guitar TV, LLC is a limited liability company formed to develop and produce the Guitar TV Concert Series. We are now looking for a number of qualified investors willing to finance production of the first ten one-hour episodes of the series. Once broadcast distribution is established and corporate sponsorships are committed, Guitar TV, LLC anticipates projected cash flows will fund continued production of episodes as well as pay back the original investors.
Guitar TV, LLC has proposed a development budget of $250,000.00 to launch the Guitar TV Concert Series. Once production begins, Guitar TV, LLC will work to secure sponsorship commitments from equipment manufacturers, major retailers and other corporate sponsors to offset production, administrative and advertising costs. In addition, income from cable distributors, video-on-demand and other sources will be anticipated. Guitar TV, LLC projects that positive cash flow will sustain new production and ongoing operating costs after the initial ten programs are produced and released.
For the initial $250,000.00 investment, the investors will be granted up to 40% of the membership shares of Guitar TV, LLC. As cash flow allows, the investors will be paid back the original amount of $250,000.00 plus interest in the amount of $50,000 for a total of $300,000.00. As the original investment is paid back, the investor’s membership shares in Guitar TV, LLC will be reduced accordingly. For every $50,000 paid back, the investor’s membership shares will be reduced by 5%. After full payback of the original investment plus interest, the investors will still own a 10% membership share of Guitar TV, LLC.
TRANSTAR FILM PARTNERS, LLC
To finance the development and production of multiple feature film projects, Transtar Entertainment Company, Inc. is offering partnership positions in various limited liability companies. These LLC’s enable TEC to maximize cash flow and acquire interests in a greater variety and quantity of film projects. The Company has already formed Transtar Film Partners, LLC to produce one or more feature films.
Transtar Film Partners, LLC (TFP) is a Colorado Limited Liability Company formed in September of 2006. TFP was created as an investment vehicle to fund the development and production of feature film projects. Transtar Entertainment Company, Inc. is the Managing Partner of TFP and will provide initial funding to begin development of feature film projects.
To finance further development and production, a number of accredited investors will be secured. These investors will receive as much as 75% of the membership shares in Transtar Film Partners, LLC. Additional limited liability companies will be formed as necessary to fund other film projects.
INITIAL PUBLIC OFFERING
Transtar Entertainment Company, Inc. recently completed two mergers to position the company to become a publicly-traded firm. In January of 2010, TEC joined forces with Transtar Productions, Inc., a successful film and video production company in business since 1982, and Multi Management Group, Inc., a concert promoter and artist management company also in business since 1982.
Within 18 months of securing our 504 Private Placement Offering, Transtar Entertainment Company, Inc. will begin work on an Initial Public Offering. Upon approval by the SEC, the IPO will be listed on the OTC Bulletin Board with the goal of raising between $2.5 million and $5 million.
Some of these funds will be used to expand TEC’s equipment line and facilities, launch new broadcast television programs and maintain cash flow. But the majority of this offering will be dedicated to developing and producing feature film projects. The IPO will also provide an exit strategy, if desired, for those individuals who invested in the Private Placement Offering. Subsequent private and public offerings may be authorized as needed to sustain growth, fund program development and maintain cash flow.
